These terms of use (“Terms”) between Copper Markets (US) Inc. (“Copper” or “our”) and the entity you represent (“you”, “your”, “your company”, “user,” or “customer”) govern your access to and use of the Copper website, http://copper.co/en-us, mobile applications, portals, dashboards, APIs, software, communications interfaces, and other technology or content that links to these Terms (collectively, the “Platform”), as provided by Copper from time to time.

Copper reserves the right to amend the Terms at any time and will post any amendments here. You are advised to review the Terms on a regular basis as you will be deemed to have accepted amendments if you continue to use the website after they have been posted.

Acceptance

By clicking an acceptance button, creating an account, accessing or using the Platform, or otherwise indicating acceptance, you acknowledge that you have read, understood, and agree to Copper’s Terms, Privacy Policy, Cookie Policy and Disclosures. If you do not agree, do not access or use the Platform.

If you use the Platform for an entity, you represent and warrant that you have the authority to bind that entity. “You” includes both you and that entity. The entity is responsible for use by its administrators, authorized users or representatives, employees, contractors, and agents.

Copper and Affiliates

Copper Markets (US) Inc. is a corporation organized under the laws of the State of Delaware and a broker-dealer registered with the U.S. Securities and Exchange Commission and a member of the Financial Industry Regulatory Authority.

Certain products and services available through the Platform may be provided by or through Copper’s affiliate, Copper Markets (Switzerland) AG, which is a company registered in Switzerland. Products and services provided by or available through an affiliate are offered under the Copper group brand. The use of a common brand, logo, trade name, website, email domain, or platform does not mean that all products or services are provided by the same legal entity or in the same jurisdiction. Products and services are provided by the specific Copper affiliated entity identified in the relevant agreement, disclosure, account documentation, offering materials, or communication and will be separately subject to that entity’s terms of use, where applicable.

When applying for accounts, subscriptions, products, and services, it is important to know which entity you will be dealing with. Certain services listed may be provided by one or more Copper affiliated entity.Product and service availability and customer eligibility can vary by jurisdiction and is subject to applicable law, eligibility requirements, documentation and approval by the appropriate Copper affiliated entity. All Copper product images and any simulations presented are for informational and demonstrative purposes only. Not all features may be available to all Copper customers.

Content

Copper may offer technology, connectivity, informational, or administrative functionality that is not itself a broker-dealer service. A service is not a securities service merely because it appears on the same Platform as a regulated service.

Prices, quotes, valuations, analytics, news, protocol data, and market data displayed on the Platform may be indicative, delayed, incomplete, or obtained from third parties. Displayed prices may differ from executable prices. Digital asset markets may operate continuously, be fragmented, and experience rapid price movement and liquidity changes. You must independently validate information before acting.

Platform Availability and Maintenance

The Platform may be unavailable due to maintenance, updates, outages, network events, market conditions, cyber incidents, legal requirements, or events beyond our control. We do not guarantee uninterrupted or error free access.

No Warranty

To the maximum extent permitted by applicable law, the Platform is operated “as is” and “as available” without any warranty of any kind, express or implied, as to the operation of the Platform, the accuracy or completeness of any information on the Platform and we shall not be liable for any losses or damages that may result from use of the Platform as a consequence of any inaccuracies, errors or omissions of such information.

All products and services referred to on the Platform are subject to change without notice. You agree that we shall not be liable to you or to any third party for any amendment, modification, suspension, or discontinuance of the Platform or any products or services offered through the Platform.

Security

You shall use commercially reasonable policies and procedures to maintain and safeguard the confidentiality and security of usernames, passwords, authentication devices, credentials, wallet addresses, recovery materials, and devices. You must notify Copper immediately of any suspected or actual compromise, theft, loss, fraud or security breach.

Entity customers must designate authorized users and maintain internal authority, approval, and segregation of duty controls and will not authorize or permit any other party to access the Platform. You will be responsible for selecting administrators and authorized users, assigning permissions, maintaining accurate authority records, reviewing activity and promptly revoking access for users who are no longer authorized. You must not share credentials or permit another person to use a particular login that is not assigned to that authorized user. You must notify Copper immediately of any unauthorized access or use. Copper may rely on instructions submitted through valid credentials unless it has received and processed an actual notice of changed authority or a legal obligation to reject the instruction. You are responsible for activity conducted through your credentials or authorized users to the extent permitted by law.

Third Party Links

The Platform may contain links, embedded interfaces, protocols, bridges to third party services, websites, applications or digital platforms, which are provided for your convenience. You should carefully review the terms and policies and procedures of each and every other third party before connecting to or using third party services. Access does not constitute endorsement. Copper is not responsible for a third party’s acts, omissions, cybersecurity incident, suspension, service interruption, or changes to their terms. To the maximum extent permitted by law, disputes concerning a third party service are between you and that provider.

Platform License and Acceptable Use

Subject to these Terms, Copper grants you a limited, revocable, nonexclusive, nontransferable, non-sublicensable license to access and use the Platform for its intended lawful purposes. We retain all rights not expressly granted.

You represent that you will not use the Platform, directly or indirectly, to conduct unlawful activity and you will not:

  • use stolen credentials, deceptive identities, mixers, obfuscation services, or prohibited privacy enhancing tools to conceal unlawful activity;
  • circumvent geographic, transfer, wallet, or product restrictions;
  • probe, scan, disrupt, reverse engineer, scrape, overload, circumvent or compromise the Platform or its security;
  • introduce malware, malicious code, automated attacks, harmful content;
  • alter, delete, disable or otherwise circumvent any security procedure or assist or allow any other party to do so;
  • scrape, crawl, harvest, copy, mirror, frame, or systematically extract data except as expressly authorized;
  • reverse engineer, decompile, disassemble, derive source code, or create derivative works;
  • use the Platform to develop, train, test, or improve a competing service or artificial intelligence model without written permission;
  • remove proprietary notices or falsely imply affiliation, sponsorship, or endorsement; or
  • use the Platform in a manner that exposes us, our affiliates, or third party service providers to legal, regulatory, operational, reputational, or security risk.
